AV Secures $288 Million Delivery Order on $990 Million Contract with U.S. ArmyARLINGTON, Va., February 03, 2025 – AeroVironment (AV), a global leader in intelligent, multi-domain robotic systems, today announced it has been awarded its third delivery order for Switchblade® loitering munition systems in the amount of $288 million as part of U.S. Army’s Directed Requirement (DR) for Lethal Unmanned Systems (LUS).  This is the third award in the last 12 months, totaling $471.3 millions.  This award is the third such delivery order awarded to AV as part of the multi-year contract with a ceiling value of $990M, which was secured in August 2024.

(NASDAQ: AVAV) (“AV” or the “Company”) and BlueHalo LLC (“BlueHalo”) today announced the execution of a definitive agreement under which AV will acquire BlueHalo in an all-stock transaction with an enterprise value of approximately $4.1 billion, creating a more diversified global leader in all-domain defense technologies. The combined company will bring together complementary capabilities to offer a comprehensive portfolio of high-growth franchises, powered by cutting-edge technology and focused on addressing the most important priorities and needs of our nation and allies around the globe.

BlueHalo, an Arlington Capital Partners portfolio company, was founded as a purpose-built platform providing industry-leading capabilities in several key mission areas: Space Technologies, Counter-Uncrewed Aircraft Systems (cUAS), Directed Energy, Electronic Warfare, Cyber, Artificial Intelligence and other Emerging Technologies including Uncrewed Underwater Vehicles (UUVs). The acquisition of BlueHalo will create a diversified Defense Tech company with a highly complementary and differentiated portfolio of solutions in Uncrewed Systems, short and long range Loitering Munitions, Counter UAS, Space Technologies, Electronic Warfare and Cyber, powered by AI and Autonomy.   • Diversifies mix of customers, products and revenue. The combined company is expected to achieve a more balanced and diversified customer base, product and revenue mix, benefiting from BlueHalo’s established presence in key emerging defense markets. The combined company will benefit from expanded geographical reach, with the ability to provide BlueHalo’s solutions to AV’s larger international customer base. By integrating complementary capabilities, AV will be well-positioned to generate sustained long-term value for shareholders.
  • Generates attractive returns. AV expects the transaction to be accretive to revenue, adjusted EBITDA and non-GAAP EPS in the first full fiscal year post-close.

Transaction Details

The transaction, which has been unanimously approved by both companies’ board of directors or managers, is expected to close in the first half of calendar 2025, subject to regulatory and AV shareholder approvals, as well as other customary closing conditions.

Per the terms of the merger agreement, AV will issue approximately 18.5 million shares of AV common stock to BlueHalo.

Following the close of the transaction and based on AV’s shares outstanding as of November 18, 2024, AV’s shareholders will own approximately 60.5% of the combined company and BlueHalo’s equity holders will own approximately 39.5%, subject to closing adjustments. Arlington Capital Partners, an investment firm that is the majority owner of BlueHalo, will retain a significant ownership stake in the combined company.

We expect substantially all of the BlueHalo holders to enter lock-up agreements with respect to their transaction consideration, with 40% releasing 12 months post close and the remaining 60% to be released in equal tranches 18 and 24 months after the close.

Leadership, Governance and Headquarters

Following the completion of the transaction, AV Chairman, President and CEO Wahid Nawabi will be Chairman, President and CEO of the combined company. Jonathan Moneymaker, CEO of BlueHalo, will serve as a strategic advisor to Mr. Nawabi and the combined company Management Team.

Upon closing, the AV Board of Directors will be expanded to comprise 10 members. Arlington Capital Partners will have the right to appoint two directors to the Board, subject to minimum ownership thresholds.

The combined company will be at headquartered in Arlington, Virginia, at AV’s corporate headquarters.

  • GPS-Denied Capabilities: Puma 3 AE and Puma LE now support additional advanced Assured Position Navigation and Timing (APNT) capabilities in GNSS denied environments.

AV Showcases JUMP 20’s Advanced Maritime Capabilities at NATO REPMUS Demonstration

Arlington, Va., October 15, 2024 – AeroVironment (AV) successfully showcased the maritime prowess of its combat-proven JUMP® 20 uncrewed aircraft system (UAS) during the NATO REPMUS 2024 (Robotic Experimentation and Prototyping using Maritime Uncrewed Systems) exercise off the coast of Portugal. This dynamic demonstration reinforced JUMP 20’s advanced Intelligence, Surveillance, and Reconnaissance (ISR) capabilities, autonomously launching and landing on a moving vessel in rough seas, with conditions reaching sea state level 5 and winds over 20 kts.

The JUMP 20 also highlighted its multi-sensor mission versatility, seamlessly executing wide-area search and detection tasks. Its advanced Electro Optical and Mid-Wave Infrared (MWIR) turret automatically slewed to investigate identified targets without repositioning the platform, ensuring constant operational focus.  Full-motion video was captured and later analyzed using AV’s cutting-edge computer vision technology, SPOTR-Edge™, enabling perception analysis using its robust library of object classifications, including persons, vehicles, and maritime vessels. Additionally, video from this event will further enhance the solution, making the JUMP 20 even more capable for future deployments by refining its object recognition and situational response capabilities.

REPMUS is an annual exercise uniting NATO allies, European Union entities, industry leaders, and academic partners to push the boundaries of uncrewed maritime systems in real-world scenarios.

AV Secures $743 Million Additional Contract Ceiling for Switchblade Loitering Munition Systems

Arlington, Va., October 14, 2024 – AeroVironment (AV), a global leader in intelligent, multi-domain robotic systems, announced today that the U.S. Army has awarded a $54.9 million delivery order for the production of Switchblade® loitering munition systems. The recently announced award includes an additional contract ceiling of $743 million with $54.9 million in new funding.  This contract is issued as part of a broader, previously executed, indefinite delivery, indefinite quantity contract, and ensures continued support for both the U.S. Army and several allied partners, including Lithuania, Romania, and Sweden.

Work on this contract will be performed in Simi Valley, California, with an estimated completion date of June 30, 2026. The award, which leverages fiscal 2023 and 2024 Army funds along with Foreign Military Sales, highlights AV’s ongoing commitment to delivering proven, battlefield-ready technology that meets the evolving needs of modern armed forces.

AV Unveils P550: Autonomous Group 2 eVTOL UAS, Ushers in a New Era of Battlefield Adaptability and Mission Flexibility for Maneuver Forces

Arlington, Va., October 14, 2024 – AeroVironment (AV) has introduced the P550™ advanced autonomous Group 2 eVTOL uncrewed aircraft system (UAS) designed to set a new standard for battlefield adaptability and operational readiness. Leveraging a Modular Open Systems Approach (MOSA) and AI-driven autonomy, P550 is engineered to empower maneuver forces to quickly respond to evolving mission demands with rapid deployment, scalability, and superior situational awareness.

Unveiled at the Association of the United States Army’s (AUSA) Annual Meeting, the P550’s all-electric powertrain provides flight endurance of over 5 hours and a multi-sensor payload capacity of up to 15 pounds. This endurance and payload capability deliver critical intelligence gathering, precision targeting, and force protection in dynamic and contested environments.

At the core of P550 is its MOSA framework, enabling seamless integration with third-party payloads, datalinks, ground control systems, and mission software. This open and scalable architecture not only future-proofs the UAS for continuous upgrades but also keeps pace with technological advancements at low cost and risk. P550’s standard interfaces allow interoperability with multiple ground control systems providing operators with mission flexibility and compatibility across various platforms.

Purpose-built for rapid deployment in any environment, P550’s modular design features toolless airframe assembly with hot-swappable batteries and multi-sensor payloads ensuring maximum operational readiness. For enhanced lethality, the UAS supports a range of offensive capabilities, including laser designation, sensor-to-shooter functionalities, and proven munitions. Its modular communication architecture further boosts operational resilience by offering flexible datalink options, maintaining reliable performance even in complex, contested environments.

P550 integrates AV’s SPOTR-Edge™ Automatic Target Recognition (ATR) and AVACORE™ software suite for onboard edge computing. AV Successfully Flight Tests New Solar-Powered Aircraft, Redefines Stratospheric Payload Capabilities

ARLINGTON, Va., Oct 1, 2024 – AeroVironment (AV) flight-tested an upgraded Sunglider™, enhancing its High-Altitude Platform-Station (HAPS) capabilities for commercial and government markets. The result is Horus™ A, the new version of Sunglider for government applications. Horus A is a solar-powered UAS capable of carrying up to 150 lb of payload with 1.5 kW of available power, offering industry-leading stratospheric performance.

Horus A features enhancements in all areas of the aircraft design, avionics, and offers unique features such as additional autonomy to increase mission flexibility and multiple redundant systems for mission assurance. Horus A received airworthiness approval from the U.S. Army and an FAA Special Airworthiness Certificate to allow flight testing in the national airspace. These enhancements flow back into the continued development of Sunglider with SoftBank as both companies strive to deliver unrivaled payload capacity and persistence to unlock the full potential of both stratospheric flight and the latest, most capable payloads.

“During this recent Horus A flight, we demonstrated the ability to carry multiple payloads for the U.S. DoD and transmit real-time data, advancing the viability of HAPS for government applications,” said Jeff Rodrian, AV’s senior vice president and general manager of MacCready Works. “This flight marks another milestone in our stratospheric platform’s progress. It underscores AV’s leadership in developing solar-powered, high-altitude systems with significant potential for commercial and government applications.”

Continuing AV’s tradition of industry-defining firsts, Horus A simultaneously operated a Synthetic Aperture Radar (SAR), and Tactical Grade Mesh Network radio during the mission portion of the flight. Covering the majority of the flight test points, AV was able to validate multiple new and redundant systems, payload interoperability and performance enhancements. AV also demonstrated the ability to effectively maneuver in adverse and turbulent weather, landing safely, ready to return to the Stratosphere for future longer-duration missions. Horus A’s satellite-based BLOS radio and robust avionics and datalink suite will enable this platform to fill critical defense capability gaps such as resilient communications and network extension, Assured Positioning, Navigation and Timing (APNT), Space Domain Awareness, long-endurance ISR, and deep sensing. Many of these capabilities can enable swarms of smaller uncrewed systems like Switchblade® 600 to be most effective on the battlefield.

After this recent stratospheric flight, which was supported by the Office of the Under Secretary of Defense Research and Engineering, and the Rapid Prototyping Programs, AV will continue aggressively progressing Horus A towards operational employment. Through continued partnership with SoftBank, the company aims to offer a robust connectivity solution in the world of 5G and beyond with Sunglider.

AV Secures $990M Contract to Supply U.S. Army with Switchblade Loitering Munitions

ARLINGTON, Va., August 28, 2024 – AeroVironment (AV) has been awarded a contract for the U.S. Army’s Directed Requirement (DR) for Lethal Unmanned Systems (LUS). The 5-year contract from Army Contracting Command-Aberdeen Proving Ground is Indefinite Delivery, Indefinite Quantity (IDIQ) with a contract ceiling value of $990M. Deliveries of the Switchblade® systems are expected to begin in months.

The LUS Directed Requirement is the Army’s first effort to equip soldiers in infantry battalions with lethal, man-portable loitering munition systems. The combat-proven Switchblade systems will enhance soldiers’ capabilities with precision flight control, greater lethality against fortified targets such as armored vehicles and tanks, and the ability to track and engage moving non-line-of-sight targets. AV was awarded a contract for the LUS Directed Requirement in December 2023 and is currently delivering systems under that contract.

Switchblade represents the next generation of extended-range loitering munition systems, providing operators in the field with a multi-mission loitering munition system capable of multi-domain operations. The combat-proven system also features high-precision optics and extended loitering endurance.

“Starting with the LUS Directed Requirement, we are well positioned to meet the Army’s emerging needs, leveraging our robust production capability and supply chain capacity to ensure rapid fielding and enhanced combat overmatch for our soldiers,” continued Hush.

AeroVironment Strengthens Washington D.C. Presence with New Government Relations Team

ARLINGTON, Va., July 22, 2024 – In line with AeroVironment’s (AV) continuous growth trajectory, the company is bolstering its presence at its global headquarters in Arlington, Virginia, by establishing a robust government relations team. Led by Senior Vice President of Government Relations, Church Hutton, the new team comprises seasoned professionals Rachel Lipsey, Bill Pennington, Chris Meyers and Rocky Checca.

“AV has been a cutting-edge company for over 50 years and is trusted by the national security enterprise to deliver innovative solutions and advanced technologies for critical missions and rapidly evolving demands. Our exponential growth and expanding influence are a testament to our innovation and reliability,” said Hutton. “We are reinforcing this momentum by investing in a stellar team capable of effectively broadening AV’s reach within the executive branch and on Capitol Hill. Our newly formed team has decades of combined experience in service to our country, both in uniform and within our government, and they bring a deep understanding of the national security landscape and today’s complex global threat matrix.”

Rachel Lipsey, Senior Director for Washington Operations overseeing congressional affairs, joined AV from The Boeing Company, where she led congressional engagement and strategic advocacy on defense acquisition. Prior to her tenure at Boeing, Lipsey held staff positions in the U.S. Senate, U.S. House of Representatives, and state government, advising on defense policy and national security matters.

Bill Pennington, also a Senior Director for Washington Operations focusing on congressional affairs, has extensive experience with federal appropriations and congressional relations. Pennington held a variety of increasingly prominent roles in the U.S. Navy before joining AV, including commanding aviation units at the squadron and wing levels. He most recently served as the Director of the Navy and Marine Corps Congressional Appropriations Matters Office, bringing vast expertise in defense resourcing and requirements.

Chris Meyers, Senior Director for Washington Operations, works with the Executive Branch in support of domestic business development. Before joining AV, Meyers served as the Director of Business Development for government programs at CesiumAstro. His distinguished military career in the Marine Corps saw him command units at all levels within the armor community, retiring as a Colonel. Meyers also served as a Congressional Fellow, Legislative Liaison, Budget Programmer, and Director of the Marine Liaison Office to the U.S. House of Representatives.

Rounding out the team is Rocky Checca, Director for Washington Operations, who works closely with the Legislative and Executive branches, foreign embassies, industry associations, and think tanks in support of AV’s international affairs. Checca retired from the Marine Corps as a Lieutenant Colonel and served as a Presidential helicopter pilot in Marine Helicopter Squadron One. He conducted deployments to Iraq in direct support of combat operations. He also served as a Congressional Defense Fellow for Congressman Ken Calvert (CA-42) and Deputy Director of the Marine Liaison Office to the U.S. House of Representatives.

Leading the team is Church Hutton, who joined AV in December 2023 and oversees the company’s strategic engagement with the Department of Defense (DoD) and Congress. “Our team brings a wealth of knowledge and experience to AV and has already hit the ground running on increasing and enhancing awareness of AV with our government customers and elected officials,” continued Hutton.

This strategic investment reinforces AV’s commitment to maintaining its leadership in the uncrewed systems defense sector and ensures the company’s innovative contributions to national security are effectively communicated to all stakeholders.
